Terms of Service
Effective: 1 June 2025
These Terms of Service govern your use of the services provided by TheNewGate Asia Pacific Pte. Ltd. (“TNGAP”), a company incorporated in Singapore (UEN: 202548372K), registered at 6 Raffles Quay, #11-07 John Hancock Tower, Singapore 048580. By engaging TNGAP services, you agree to these terms in full.
1. Services
TheNewGate Asia Pacific Pte. Ltd. ("TNGAP") provides trade infrastructure services including Importer of Record (IOR) facilitation, marketplace listing support, and related consulting services to business clients ("Clients"). Use of our services constitutes acceptance of these terms.
2. Eligibility
Our services are available to registered business entities only. Individual consumers are not eligible. Clients must provide accurate company registration details at onboarding.
3. Payment
Service fees are invoiced in Singapore Dollars (SGD) unless otherwise agreed in writing. Payment terms are net-30 from invoice date. Late payments may incur a 1.5% monthly charge.
4. Liability limitation
TNGAP's liability is limited to the fees paid in the three months preceding a claim. We are not liable for delays caused by customs authorities, marketplace policy changes, or events beyond our reasonable control.
5. Governing law
These terms are governed by the laws of Singapore. Any disputes shall be resolved in the courts of Singapore.
6. Amendments
We may update these Terms at any time. Clients will be notified by email at least 14 days before material changes take effect. Continued use of our services constitutes acceptance of the updated Terms.
7. Dispute resolution
Disputes shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be resolved by Singapore International Arbitration Centre (SIAC) rules, with arbitration in Singapore, in English.
