Services
TheNewGate Asia Pacific Pte. Ltd. ("TNGAP") provides cross-border commerce services to business clients ("Clients"): strategy consulting, commerce software subscriptions (makevi global), and local fulfilment (LFF). Services in preparation or planned (Resale; Exporter of Record) will be governed by service-specific terms upon launch. Use of our services constitutes acceptance of these terms.
Eligibility
Our services are available to registered business entities only. Individual consumers are not eligible. Clients must provide accurate company registration details at onboarding.
Payment
Service fees are invoiced in Singapore Dollars (SGD) unless otherwise agreed in writing. Payment terms are net-30 from invoice date. Late payments may incur a 1.5% monthly charge.
Liability limitation
TNGAP's liability is limited to the fees paid in the three months preceding a claim. We are not liable for delays caused by customs authorities, marketplace policy changes, or events beyond our reasonable control.
Term and termination
Consulting retainers and software subscriptions are billed on their agreed cycle and may be terminated by either party with 30 days' written notice. Fulfilment engagements are billed on actual volume; wind-down terms are set in each service agreement. TNGAP does not charge early-termination penalties beyond fees already invoiced for services rendered.
Governing law
These terms are governed by the laws of Singapore. Subject to Section 8 (dispute resolution), the courts of Singapore retain jurisdiction for interim and injunctive relief only.
Amendments
We may update these Terms at any time. Clients will be notified by email at least 14 days before material changes take effect. Continued use of our services constitutes acceptance of the updated Terms.
Dispute resolution
Disputes shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be resolved under Singapore International Arbitration Centre (SIAC) rules, with arbitration in Singapore, in English.
